Terms of Service

Operator: Mumbai Property Exchange (MahaRERA Reg: A51800043517), represented by Sandeep Sadh ("Company", "We", "Us", "Platform").
1. Acceptance of Terms
By registering, accessing, or using any service across PROPi.IN, TheRealConnect.in, or TheRealConnect.cloud (collectively, the "Platform"), you ("User", "You", "Broker", "Channel Partner", "Builder") agree unconditionally to be bound by these Terms. If you do not agree, you must immediately cease all use.
2. Description of Service
The Platform is a technology-enabled marketplace and CRM that provides:
- PROPi.IN: A B2B network for real estate agents/brokers to list properties, post buyer requirements, discover matching inventory, and connect with other agents.
- TheRealConnect.in / .cloud: A SaaS platform enabling real estate builders and developers to discover, engage, and manage channel partners through AI-powered matching, WhatsApp campaigns, 1-on-1 messaging, and pipeline tracking.
3. Account Registration & Identity
- You must provide accurate, complete, and current registration information including your legal name, valid mobile number, email, RERA registration number (if applicable), PAN, GST, and company name.
- Each account is personal and non-transferable. You are solely responsible for all activity under your credentials.
- We reserve the right to verify your identity and may suspend or terminate accounts that provide false, misleading, or incomplete information.
- You must be a bona fide real estate professional (broker, agent, developer, or authorized sales representative) to use the Platform.
4. Grant of License to Platform — DATA RIGHTS
THIS IS A CRITICAL CLAUSE. PLEASE READ CAREFULLY.
4.1 Irrevocable Content License
By posting, uploading, forwarding, or transmitting any data to the Platform — whether through the website, mobile app, WhatsApp message forwarding, API, or any other method — including but not limited to property listings, buyer/tenant requirements, photographs, floor plans, pricing, project details, client preferences, broker notes, and contact information (collectively, "User Content"), you hereby grant the Company an irrevocable, perpetual, non-exclusive, royalty-free, worldwide, fully transferable and sublicensable license to:
- Use, reproduce, modify, adapt, publish, translate, distribute, display, and perform such User Content in any media or technology now known or hereafter developed;
- Share, syndicate, and cross-publish User Content across any and all platforms, websites, mobile applications, WhatsApp channels, email campaigns, newsletters, print media, and third-party portals owned, operated, or partnered with the Company;
- Aggregate, analyze, and derive insights from User Content for commercial, analytical, AI/ML training, and marketing purposes;
- Share User Content with builders, developers, channel partners, co-brokers, and any other registered or prospective users of any Platform service, whether or not such sharing is directly requested by You.
4.2 No Exclusivity; No Confidentiality
Any data submitted to the Platform is not treated as confidential, proprietary, or exclusive. You acknowledge that:
- Properties and requirements you list may be shared with any builder, developer, or agent on the Platform without your prior consent or notification;
- Your listing data may appear in AI-matching engines, search results, curated feeds, WhatsApp broadcasts, and email campaigns operated by the Company or its clients;
- Your professional details (name, firm name, RERA number, general operating locations) may be displayed to builders and other Platform users as part of the Company's channel partner database;
- The Company may favourite, tag, score, rank, and categorize your profile using proprietary algorithms, and share these scores and tags with builders and developers.
4.3 White-Label Sharing
Any listing posted on the Platform may be shared by other registered users (brokers, agents) with their retail clients through the Platform's white-label presentation system. In such cases:
- The sharing agent's branding replaces the listing agent's identity on the client-facing presentation;
- The listing agent has no claim, objection, or right of refusal regarding such white-label usage;
- This is a core feature of the Platform and forms an essential part of the service offering you consent to by registering.
4.4 Builder Access and Distribution
User Content, including individual property listings, requirement data, and aggregated market intelligence derived therefrom, may be:
- Made available to builders and developers as part of their subscription services (TheRealConnect);
- Included in campaign targeting, lead lists, and pipeline recommendations provided to builder clients;
- Used to train and improve the Platform's AI/ML matching algorithms without compensation to You.
4.5 Survival of License
The license granted under this Section 4 survives termination of your account. Even after you delete your account, previously submitted User Content that has already been distributed, cached, shared, or integrated into derived datasets remains subject to this license.
5. Token Economy
5.1 Token Usage (PROPi.IN)
- Connecting with another agent via WhatsApp: 5 tokens
- Property listing refresh (extends active status by 15 days): 1 token (base)
- Requirement listing refresh: 1 token (base)
5.2 Token Usage (TheRealConnect)
- Revealing a P1 (Priority 1) CP's contact: 5 tokens
- Revealing a P2 CP's contact: 3 tokens
- Revealing a P3 CP's contact: 1 token
- Each delivered WhatsApp campaign message: 1 token
5.3 Token Purchases & Non-Refundability
Tokens are purchased via Razorpay in Indian Rupees (INR), subject to applicable GST (18%). All token purchases are final, non-refundable, and non-transferable. No refunds will be issued under any circumstances whatsoever, including but not limited to incorrect contact information, unresponsive agents, platform downtime, account suspension, or change of mind. By purchasing tokens, you acknowledge and accept this absolute no-refund policy.
5.4 Token Expiry
Unused tokens do not expire but are forfeited upon account termination or suspension.
6. Listing Freshness & Stale Data Policy
- Properties and requirements that are not refreshed within 15 days of their last update will be automatically marked "Inactive" and excluded from search results, matching engines, and public feeds.
- Each refresh operation consumes tokens as specified in Section 5.
- The Company bears no responsibility for listings that become stale due to the User's failure to refresh.
7. WhatsApp Integration
7.1 WhatsApp Auto-Parser
The Platform operates an automated WhatsApp ingestion engine. By sending any text message to the Platform's designated WhatsApp business number, you:
- Consent to the automated parsing, structuring, and database storage of your message content;
- Acknowledge that parsed data will be immediately published to the Platform's live feeds and matching engines;
- Accept that automated reply messages may be sent to your WhatsApp number confirming receipt and processing.
7.2 WhatsApp Campaigns (Builders)
Builders using the WhatsApp campaign feature must comply with Meta's WhatsApp Business API policies. Spam, misleading content, and unsolicited promotional messages are strictly prohibited. We reserve the right to suspend access to WhatsApp features for any Builder violating these policies.
8. RERA Disclaimer
While the Platform cross-references publicly available MahaRERA data, we do not guarantee the accuracy, completeness, or currency of any RERA registration information displayed. Users must independently verify RERA compliance before entering into any transaction.
9. No Guarantee of Business Outcomes
The Platform is a technology enabler and does not guarantee:
- Any leads, conversions, site visits, or closings;
- The accuracy of contact information revealed through token expenditure;
- That any channel partner or builder will respond to messages or inquiries;
- The financial viability or legal compliance of any property or project listed on the Platform.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:
- Your use or misuse of the Platform;
- Any User Content you submit;
- Your violation of these Terms;
- Your violation of any applicable law, regulation, or third-party right;
- Any dispute between You and another User, builder, client, or channel partner arising from interactions facilitated by the Platform.
11. Limitation of Liability
- The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages;
- Our total aggregate liability shall not exceed the amount paid by you to the Platform in the preceding 3 months;
- We are not liable for any lost profits, lost business, lost data, or cost of procurement of substitute services.
12. Intellectual Property
The Platform, including its AI algorithms, scoring systems, matching engines, user interface, codebase, brand names, logos, and documentation, is the exclusive intellectual property of the Company. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Platform.
13. Termination
- We may suspend or terminate your account at any time, for any reason, with or without notice;
- Upon termination, all unused tokens are forfeited;
- The data license granted under Section 4 survives termination;
- You may request account deletion by contacting support, subject to data retention obligations under applicable law.
14. Privacy & Data Protection
Our collection and use of personal data is governed by our separate Privacy Policy. By using the Platform, you consent to the collection and processing of your data as described therein.
15. Dispute Resolution & Governing Law
- These Terms are governed by the laws of India;
- Any dispute shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Mumbai, Maharashtra;
- The arbitration shall be conducted by a sole arbitrator appointed by the Company;
- Notwithstanding the above, the Company may seek injunctive relief in any court of competent jurisdiction.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Platform with the revised "Last Updated" date. Continued use of the Platform after any modification constitutes acceptance of the updated Terms.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy and any supplemental terms posted on the Platform, constitute the entire agreement between You and the Company.
